Terms of Service

Governing access and use of our logistics and freight platform.

By accessing or using the Services, you agree to these Terms. If using the Services on behalf of an entity, you represent authority to bind that entity.

1. Services Overview

ShipDeez provides a cloud-based logistics and freight technology platform. ShipDeez operates as a licensed freight broker under applicable U.S. law where required.

2. Freight Brokerage Status

ShipDeez arranges transportation by authorized third-party motor carriers and does not operate as a motor carrier or take possession of freight. Transportation is subject to carrier tariffs and bills of lading; carrier liability limitations apply.

3. LTL & Freight Risk Allocation

Freight class, weight, dimensions, and packaging are shipper's responsibility.
Reweigh, reclassification, accessorials, detention, and rebills may apply.
Transit times are estimates only; claims must be filed with the carrier.

4. Cargo Insurance

Carrier declared value is not insurance. Optional cargo insurance, if offered, is provided by third-party insurers and is subject to insurer terms and exclusions.

5. Fees, Billing & Credit Risk

You are responsible for freight charges, adjustments, and accessorials.
Carrier audits may occur post-delivery; unpaid balances may result in suspension.

6. Chargebacks & Recovery

You are liable for chargebacks, reversed payments, and unpaid invoices. ShipDeez may pursue collection including legal fees where permitted.

7. API Usage & Limits

API credentials must remain secure.
Abusive usage may be throttled or suspended.

8. Data Security & Breach Notification

ShipDeez maintains commercially reasonable safeguards. In the event of a confirmed breach, notification will be provided consistent with applicable law.

9. SLA Disclaimer

Services are provided "as available." No uptime guarantees are made unless specified in a written enterprise agreement.

10. Confidential Information

Each party agrees to protect confidential information, including pricing and proprietary systems. Confidentiality survives termination.

11. Export & Compliance

You agree to comply with export controls, sanctions, and hazardous materials regulations. ShipDeez may suspend services if compliance risks arise.

12. Limitation of Liability

ShipDeez shall not be liable for carrier loss, freight damage, lost profits, or indirect damages. Total liability shall not exceed fees paid in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify ShipDeez from claims arising from your shipments, regulatory violations, misdeclared freight, and breach of these Terms.

14. Mandatory Arbitration & Class Waiver

Disputes shall be resolved by binding arbitration; you waive jury trials and class action participation where permitted.

15. Governing Law

These Terms are governed by the laws of the State of [Your State], USA.

16. Force Majeure

ShipDeez is not liable for events beyond reasonable control, including carrier disruption or natural disasters.

17. Entire Agreement

These Terms constitute the entire agreement between the parties.
